Telkom Indonesia transfers infrastructure assets to InfraNexia spinoff

Telkom Indonesia announced on Friday it has executed the second phase of the two-phase spinoff of its network infrastructure assets to operating subsidiary InfraNexia, with a total transaction value of IDR85.7 trillion (US$4.8 billion).
Telkom first announced plans to spin off its infrastructure assets in September 2025, with shareholders approving the plan in December.
The first phase, completed in January 2026, established InfraNexia’s operating foundation by transferring over 50% of Telkom’s fibre network infrastructure, including access, aggregation, backbone and other supporting infrastructure segments. Under the second phase, InfraNexia takes over 90% of Telkom’s network infrastructure assets and network business portfolio.
Telkom will continue to own 99.9% of Infranexia, which will operate as a wholly owned subsidiary offering neutral wholesale connectivity services.
InfraNexia will manage around 112,000 km of fibre-optic networks across Indonesia, including 26,000 km of domestic subsea cables that stretches throughout the archipelego.
InfraNexia president director Lukman Hakim Abd. Rauf said the spinoff will further strengthen the company as a neutral and reliable wholesale connectivity infrastructure provider.
“With increasingly mature asset integration, we will strengthen our main services —starting from 5G backhaul, wholesale network and FTTx, to passive infrastructure sharing,” Lukman said in a statement. “Furthermore, we have accelerated the network modernization program and encouraged the implementation of autonomous networks to present a smarter, more efficient, and adaptive connectivity infrastructure.”
Lukman added this will boost InfraNexia’s readiness to support the growth of AI, cloud, and data centres in Indonesia.
Telkom president director Dian Siswarini said the spinoff of InfraNexia is an important milestone in accelerating Telkom Group's business transformation under its TLKM 30 strategy, which aims to monetise its high-value infrastructure assets, such as data centres, towers, and fibre networks, to create new sources of growth for the company in the future.
Dian noted that the InfraNexia spinoff will also enable the group to improve the customer experience. “With the presence of InfraNexia, we are optimistic that we can provide faster, more reliable, and quality services so that we can provide the best customer experience for customers,” she said in a statement.
The spinoff also aligns with the government’s Danantara Asset Management initiative in consolidating state-owned enterprise assets, she added.
